Licensing Agreement

Effective Date: 15 April 2024
Licensor: Marcus Folk Photography
Licensee: Any customer, visitor, or member of the website below.

  1. Grant of License.
    Upon purchase of digital or physical photographs (hereinafter referred to as “Photos”) from the Licensor, the Licensee is granted a limited, non-exclusive, non-transferable license to use the Photos for personal use, as outlined in this agreement. This license does not constitute ownership of the Photos. All rights not expressly granted herein are reserved by the Licensor.
  2. Permitted Uses.
    Licensee may:
  • Display the Photos in personal, non-commercial spaces (e.g., home, personal spaces).
  • Share the Photos on personal social media or not-for-profit accounts with proper credit to the Licensor (e.g., “Photo by Marcus Folk Photography or Instagram tag: marcus.folk]”).
  • Print the Photos for personal use, provided they are not resold or redistributed.
  1. Prohibited Uses.
    Licensee may not:
  • Modify, alter, or create derivative works from the Photos without explicit permission.
  • Sell, license, sublicense, distribute, or otherwise commercialize the Photos.
  • Use the Photos for advertising, marketing, or any other commercial purposes without explicit permission and compensation.
  • Claim authorship of the Photos.
  • Allow third parties to use the Photos in any way without the Licensor’s prior written consent.
  • Print the Photos for resale or mass production.
  • Remove Photo watermarks or Marcus Folk Photography logo.
  1. Copyright and Ownership.
    All Photos are the exclusive property of the Licensor and are protected by international copyright laws. Purchase of Photos does not transfer copyright or ownership to the Licensee.
  2. Indemnification.
    The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, liabilities, and expenses arising out of the Licensee’s unauthorized use of the Photos.
  3. Termination of License.
    The Licensor reserves the right to terminate this license at any time if the Licensee breaches any terms of this agreement. Upon termination, the Licensee must cease all use of the Photos and destroy all copies. Failure to terminate usage or destroy Photos within 48 hours of notification will result in penalties determined by Licensor or legal actions against the Licensee. If legal action is required, the Licenses agrees to pay all legal fees for the Licensor until adjudication and fault are concluded.
  4. Limited Liability.
    The Licensor is not liable for any loss or damage resulting from the use or access of the Photos, including but not limited to technical issues or printing errors. The Licensor is not liable for failures in access to Photos due to third-party outages or issues. The Licensee is responsible for contacting the Licensor, as stated below, to remedy all problems with Photos, subscriptions, or access to Photos. The Licensee will provide the Licensor 30 days to rectify all issues before bringing any legal actions against the Licensor.
  5. Governing Law.
    This agreement shall be governed by the laws of Illinois. Any disputes arising out of this agreement will be resolved in the courts of Rock Island County.
